In this pivotal role, the Transaction Manager and Fund Lawyer will oversee end to end transaction management and fund structuring in Luxembourg. Working alongside a team of international lawyers and directly supporting our Client''s European real estate projects, this role is ideal for a proactive, self sufficient lawyer experienced in corporate transactions and investor relations. Client Details Our client is a leading real estate logistics developer with a strong presence in Europe. The office in Luxembourg (Gare) is central to managing multi jurisdictional projects and supporting ongoing business development across the organization. Description Your key responsibilities as Transaction Manager and Fund Lawyer: Transaction Management : Lead negotiations and closing processes with investment partners and buyers, managing contracts for joint ventures, development agreements, and sale transactions. Fund Structuring : Lead the creation and management of project specific investment funds, which serve as vehicles for pooling capital from institutional partners for targeted real estate developments. Stakeholder Relations : Serve as a key liaison for investment partners, conducting due diligence and maintaining investor relationships to support our client''s real estate expansion. Legal Governance : Oversee legal support for corporate affairs, provide advice on Luxembourg and European company law, and assist holding/financing subsidiaries as needed. Document Management : Draft, review, and manage legal documents, including shareholder and board resolutions, finance and loan agreements, and contracts. Regulatory Compliance : Monitor and adapt to legislative changes, managing AML/KYC compliance, and assisting during audits. Team Collaboration : Guide the development team to align with investor expectations, ensuring smooth cross departmental communication and adherence to market standards. Profile Here is the ideal profile for the Transaction Manager and Fund Lawyer that we are looking for : Law degree with strong transactional and investor relations experience. Knowledge of Luxembourg law and international compliance standards preferred. At least 5 years as lawyer in corporate transactions or fund management. Background with financial service provider, domiciliation agents, or equity firms is a plus. Highly autonomous, detail oriented, and capable of managing complex transactions independently. Strong initiative, with an ability to flag important matters and escalate as necessary. Advanced in English is mandatory, conversational French is highly advantageous. Additional languages are a plus. Team player with a collaborative approach, thriving in fast paced environments with demanding timelines.
