About the role
We are looking for a Senior Legal Counsel to join the Wolters Kluwer Global Law & Compliance Department in support of two software businesses operated in Europe. Wolters Kluwer Legal Software business unit serves legal professionals in law firms, general counsel offices and corporate legal departments with workflow and other software solutions. Wolters Kluwer Finance, Risk and Regulatory Reporting (FRR) business unit offers regulatory compliance and reporting software solutions and services to financial institutions across the globe. You will primarily provide hands-on legal support of the commercial transactions for these two businesses on a 50/50 basis.
Position Location and Reporting Structure
This position will be based in Germany at the offices of Wolters Kluwer Legal Software Germany. This position will report directly to the Managing Legal Counsel for Legal Software but with a dotted line reporting to the Managing Legal Counsel for our FRR business.
Job Description
* Provide comprehensive legal counseling regarding a broad spectrum of commercial, regulatory, intellectual property and corporate housekeeping matters, including legal issues related to software and service offerings and vendor and other strategic relationships
* Provide hands-on legal assistance in structuring and drafting, negotiating, interpreting, managing and enforcing routine, complex and high value commercial transactions with customers, vendors and partners, public tenders, confidentiality agreements, software license and maintenance agreements, SaaS/cloud contracts, service agreements, partnerships, etc.
* Assist commercial teams with RFPs and responses to public and private tenders
* Monitor the execution of ongoing contracts (amendments, pre-litigation management) and managing pre-litigation disputes, minor litigation, and outside counsel relationships
* Collaborate with internal teams, including group lawyers, to provide advice on all general legal matters in daily activities related to commercial activities including personal data protection and IP asset management (trademarks, software).
* Maintain and improve standard form of agreements and playbooks
* Participate in supporting compliance and remediation actions relating to privacy and other regulatory topics, conduct awareness-raising activities within the business units for sales, marketing, and product compliance teams, participate in updating and maintaining compliance documentation, internal policies and procedures, information notices, websites, registries, and draft and negotiate data processing agreements with subprocessors and customers
* Collaborating with colleagues supporting other commercial businesses and specialists from the Wolters Kluwer Global Law & Compliance Department in driving the delivery of effective, high quality legal services across Wolters Kluwer and contributing to the continuous improvement of the goals of the department
* Performing other assignments and projects as required
Your profile
* You are a fully qualified German lawyer
* You have at least six to eight years of professional progressively responsible experience in an internationally operating company with complex structures, ideally in a large corporation, or at an international law firm
* You have good knowledge of contract, corporate, IP, privacy and IT laws as well as experience in the relevant use cases in a commercial enterprise
* You have an affinity for technology subjects as well as a good understanding of technical and economic contexts
* You act independently and proactively (“hands on”), can prioritize topics / requests and subsequently implement them in a structured and solution-oriented manner
* You have excellent legal acumen and rigorous analytic skills, superior legal drafting and negotiating skills
* You have strong communication skills and friendly persuasiveness, you are able to communicate confidently at eye level even with demanding stakeholders
* You are fluent in English, in oral and written
