We are working with an innovative and rapidly growing global technology firm that is looking to hire an experienced General Counsel to join their leadership team in Germany. This is a fantastic opportunity to lead the legal function of a cutting-edge tech company and play a pivotal role in driving the company’s growth, compliance, and legal strategy as they expand their presence in Europe.
Key Responsibilities:
Strategic Legal Leadership:
* Act as the primary legal advisor to the executive team, advising on a wide range of legal issues including corporate governance, mergers & acquisitions, intellectual property, and commercial contracts.
* Develop and execute the company’s overall legal strategy, supporting business objectives while mitigating legal risks.
* Work closely with senior leadership to ensure that legal considerations are integrated into business decisions and operations.
Compliance & Risk Management:
* Ensure the company complies with all relevant laws and regulations across Germany and the European Union, including data privacy laws like GDPR, IP protection, and regulatory compliance.
* Oversee risk management activities, including the identification of legal risks and the development of policies to address and minimise exposure.
Contract Negotiations & Management:
* Lead the negotiation and drafting of key contracts, including supplier agreements, customer contracts, and strategic partnerships, ensuring that terms align with the company’s goals and legal requirements.
* Provide guidance on legal aspects of business operations, including tech licensing, IP agreements, and regulatory matters.
Corporate Governance & Litigation Management:
* Provide strategic advice on corporate governance, ensuring compliance with statutory and regulatory requirements.
* Oversee and manage external counsel on any litigation matters, ensuring timely and effective resolution of disputes.
* Lead and mentor a growing legal team, fostering a culture of collaboration and development.
* Work cross-functionally with teams in HR, finance, and product development to provide legal support and advice as needed.
Key Qualifications:
* Education: Law degree (German state examination or equivalent qualification), ideally with a focus on technology, IP, or corporate law.
* Experience:
* Strong expertise in any of the following - German corporate law, data protection (GDPR), intellectual property, contract law, and M&A law.
* Proven track record of managing complex legal issues at a senior level and contributing to the strategic direction of a business.
* Skills:
* Excellent negotiation, drafting, and communication skills.
* Ability to work in a fast-paced, high-growth environment with a strategic and solutions-oriented approach.
* Fluent in both English and German (written and spoken), with a deep understanding of legal and business practices in Germany and Europe.
