Associate/Junior Transaction Manager (Loans) Location: Frankfurt Salary: Negotiable Hybrid Working The role of an associate/Junior Transaction Manager (Loans) To expand our successful operation in Germany, we are hiring an associate/Junior Loan Transaction Manager in Frankfurt (no experience juniors are also welcome to apply). The associate/Junior Transaction Manager will work very closely and within the Transaction Management Team. The associate/Junior Transaction Manager is responsible for managing the post-closing life cycle of the loan as Agent, from closing to loan exit and is responsible for handling and processing an array of deadline driven administrative activities in relation to our portfolio of corporate lending and debt capital market transactions. This includes responsibility for covenant reporting across the portfolio, primary support and contact for all ongoing portfolio management and data quality, reviewing Finance- and Security Documents, co-coordinating the transaction closing process with a Lead TM, managing waivers and consents requests, and participating in loan repayments, refinancings, debt restructurings, prolongations, and potential insolvencies. The associate/Junior Transaction Manager is the principal support person for the Transaction management team and the go-to person for a diverse array of duties. Responsibilities Managing and organising the daily workload ensuring activities are performed within defined deadlines. Assisting transaction managers with the onboarding of new entities (facilitating internal stakeholder management, updating systems, requesting, and coordinating receipt of information) Assisting transaction managers with internal deal signing mechanics Assisting transaction managers with the deal closing process and coordinating with internal departments and all external participants (Legal Counsels, Client Services, Compliance, Borrowers, Sponsors, Lenders, Advisors) Assisting transaction managers with the funding process for new loan transactions or bond issuances as Agent including reviewing and commenting on Deal Fund-Flows Establishment of new transaction bank accounts in conjunction with GLAS’s banking providers and assigning of new transaction bank accounts Logging receipt of original transaction documentation and making the necessary arrangement to archive this offsite. Logging receipt of original security documentation and making the necessary arrangement to store this onsite. Reviewing a wide range of Finance Documents in close cooperation with lead TMs (loan closers) (Credit Agreements, Intercreditor Agreements, Security Documents, Subscription Agreements, etc.) in order to correctly update internal systems and templates. Establishing online secure Debtdomain workspaces for new transactions, creating deal specific calendar reminders and acting upon those calendar notifications, distributing transaction related reporting via the Debtdomain workspace Assisting transaction managers with deal party meeting coordination Preparing the GLAS contact information form ahead of any borrower initiative exercise Collaborating and coordinating with team members to cover all administrative tasks Assisting/managing and executing Utilisation Requests as Agent throughout the entire life cycle of the transaction Assisting/managing and coordinating loan waiver and consent requests under the Credit Agreement with all participants and arranging for appropriate Lender voting Assisting/managing loan exits and complex loan events (repayments, refinancings, debt restructurings, prolongations, insolvencies) Monitoring margin rachet events and loan covenants throughout the live cycle of the loan Assisting/managing and actioning any corporate actions Providing exceptional service to stakeholders – including dealing with internal and external queries in a timely manner. In conjunction with relevant internal stakeholders developing processes and procedures. Establishing a high-quality standard within the team, particularly with regards to service delivery and exceptional attention to detail.
