Role Overview
We are seeking a Legal Counsel (to be based in Baden-Wuerttemburg or North Rhine-Westphalia) to act as business partner to one of our client's business units in Germany and in EMEA Area and to support the Head of Legal EMEA in the provision of legal and compliance advice to ensure that the business operations in Germany and in EMEA Area are managed appropriately and in accordance with applicable law and company policy from a contractual, legal, compliance and risk standpoint.
Key Responsibilities
Key responsibilities will fall under three major areas: Generalist Legal Expertise & Guidance, Contractual Support & and Compliance. In particular, the Legal Counsel EMEA will be responsible to:
* Provide daily legal support to other functions, such as Sales, HR and Finance.
* Review terms and conditions on all customer proposals to ensure compliance with internal guidelines.
* Negotiate terms and conditions on an individual basis and as a member of a team, serve as a focal point with customers and builds lasting customer relations.
* Review, re-negotiate and approve received contracts to ensure only proper contracts get booked.
* Support the purchasing function on major contracts.
* Negotiate Frame Agreements with key accounts to enable long term business.
* Serve its internal clients with contracts expertise and engage, where necessary, outside counsel to solve complex contractual issues.
* Create reusable “contracts toolkits” (e.g., standard contract terms and conditions, best practices procedures, risk assessments, etc.).
* Provide assistance in other commercial duties such as customer defaults, collections, and dispute resolution (pre-suit) and other miscellaneous contractual issues.
* Stay abreast of legal developments affecting the company, its clients, and industries and synthesize the information to incorporate it into the company’s practices.
Critical Competencies for Success
* Qualified lawyer in Germany (First & Second State Exam)
* Minimum of 5 years of experience developed in a law firm and within a multinational companies as legal advisor.
* Fluency in German and English (written and spoken).
* Ability to establish, maintain and influence effective working relationships with key stakeholders at different level within and outside the organization.
* Willingness to travel if/when required among various German businesses and within the EMEA Area.
* Knowledge of Salesforce suit appreciated.
