PRIVATE WEALTH MANAGEMENT Private Wealth Management (PWM) is part of the Asset and Wealth Management Division of Goldman Sachs. PWM provides a comprehensive range of investment and banking services (including discretionary investment management, investment advice, execution services, deposits and lending) to wealthy individuals and families worldwide, across a diversified range of asset classes, including equities, fixed income, structured products, derivatives, hedge funds and other alternative investments. In Europe, Middle East and Africa (EMEA), PWM focuses primarily on individuals, families and family offices based in EMEA, who invest through a wide variety of investment vehicles including corporates, trusts, partnerships, and regulated and unregulated funds, in a broad range of jurisdictions. TEAM & ROLE OVERVIEW The EMEA Wealth Management Legal team currently comprises 10 lawyers in the UK (split across London and Birmingham), three lawyers in Zurich and two lawyers in Frankfurt, all of whom regularly work closely with colleagues in PWM Legal in the US and Asia. We are looking to recruit an enthusiastic, proactive and resilient candidate in Frankfurt, Germany, or Birmingham, UK, to join the team in supporting the growth of the Europe and Middle East PWM platform within the wider EMEA Wealth Management Legal team. Responsibilities will include legal work to support the growth of the PWM business in Continental Europe (including Switzerland) across multiple offices where PWM has established a presence to offer a full suite of products and services, as well as to support activities performed on a cross-border basis from and/or within Continental Europe in accordance with applicable licensing rules. Work will include advising on product origination and/or distribution in collaboration with product teams and business management located either within or outside of Continental Europe, working in a team to provide transactional support on a broad range of products. The ideal candidate will have broad corporate and commercial transactional experience, and the dexterity to advise on regulatory and business requirements. Lawyers in Wealth Management Legal work closely with a diverse group of clients across the PWM business, often collaborating with colleagues in the broader Legal Division, and thrive on the pressures of delivering consistently high quality advice to dynamic and constantly evolving businesses. RESPONSIBILITIES INCLUDE Providing comprehensive legal support across a broad range of issues, from platform-wide matters to client- / transaction- specific situations, while working with a diverse range of stakeholders. Advising on legal requirements for the structuring/origination and distribution of new products and services in Continental Europe, from licensing considerations, external outsourcing and intra-group delegation arrangements, client documentation, to internal governance and regulatory compliance. Providing transactional advice and support on products including structured products, stock trades, managed accounts, and regulated and unregulated fund structures. Prior legal experience in derivatives, securities lending and/or securities-based lending is helpful, but not essential. Working with business partners to negotiate investment management agreements with clients and other external parties. Advising Business Management and Compliance professionals on issues such as interpretation of regulations (e.g. MiFID, CRD, ESG rules, EMIR, PRIIPs, AIFMD and PSD2, and relevant national regimes (including in Germany and Luxembourg)), the assessment of complex cross-border scenarios and new policy development. Collaborating with other lawyers in the Goldman Sachs Legal Division globally to deliver the most appropriate solutions for PWM clients in EMEA. Liaising with outside counsel on a broad range of domestic and cross border jurisdictional issues. SKILL & EXPERIENCE REQUIRED We are targeting qualified lawyers with a minimum of 4 years post-qualification experience in a corporate & commercial role. Candidates are expected to have relevant post-qualification experience either with a reputable law firm and/or as in-house counsel. Candidates must be qualified to practise law in a European jurisdiction. Admission to practise law in other jurisdictions is useful. Full professional proficiency in English is essential. Knowledge of additional European languages is useful; German language skills are advantageous.
