Position Summary
The Legal Officer (m/f/d) plays a critical role in ensuring legal compliance, operational integrity, and risk mitigation across all EIT RawMaterials activities. This includes advising on EU regulations, commercial transactions, equity investment mechanisms, governance, and intellectual property. The Legal Officer will work closely with internal teams and with external legal counsel and advisors to support strategic decision-making and safeguard the organisation’s legal interests in a multi-jurisdictional context.
Key Responsibilities
* Lead Legal Advisory: Serve as the principal legal advisor to the Managing Board and act as the first point of contact for all legal questions across the organization.
* Legal Oversight: Supervise and continuously improve the legal and compliance frameworks applicable to EIT RawMaterials and its subsidiaries, especially in light of evolving EU regulations (e.g., Horizon Europe, CRMA).
* Contractual Management: Provide legal review and risk assessment of funding agreements, service contracts, MOUs, NDAs, and commercial partnership agreements.
* Investment & IP Structures: Support the structuring and negotiation of investment instruments (e.g., equity investments, royalties) and provide legal support on intellectual property matters and licensing.
* Governance & Compliance: Advise on governance-related topics, including Board procedures, conflict of interest management, KIC LE obligations, and data protection (GDPR).
* External Counsel Coordination: Manage the organization’s network of external legal advisors and ensure consistent, high-quality legal service delivery.
* Policy Development: Contribute to drafting and updating internal legal policies, contract templates, and internal controls to ensure regulatory alignment.
* Stakeholder Engagement: Liaise with the EIT, KIC Partners, auditors, and public authorities on legal matters and support the organization in dispute prevention or resolution where needed.
Qualifications & Expertise
* Master's degree in law (LL.M. or equivalent), with specialization in European, commercial, or corporate law preferred.
* Minimum of 5 years of relevant legal experience in an international, EU-funded, or investment-oriented environment.
* Proven experience in contract law, corporate governance, and working with or within public-private partnerships or multi-country legal environments.
* Familiarity with legal dimensions of innovation, intellectual property management, and state aid rules is a strong asset.
Skills & Competencies
* Native-level proficiency in German and excellent command of English, both written and spoken; the ability to draft, negotiate, and advise in English at a professional legal standard is essential.
* Strong analytical, structured, and solution-oriented approach to complex legal challenges.
* Demonstrated ability to communicate legal issues to non-legal stakeholders with clarity and confidence.
* Proactive and adaptable, with strong organisational and negotiation skills.
* Comfortable working independently and collaboratively in a multi-cultural, matrix organisation.
